Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by PriortechLabs (“PriortechLabs”, “we”, “us”, or “our”), including web hosting, domain registration and management, SSL certificates, email hosting, VPS and related services made available through priortech.co.tz, our client billing portal, or any other PriortechLabs platform.

By creating an account, purchasing a service, renewing a service, registering a domain, or otherwise using a PriortechLabs service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and any additional terms that apply to a particular service.

If you do not agree with these Terms, you should not purchase or use our services.

1. Definitions

For purposes of these Terms:

“Account” means your PriortechLabs customer account and any associated hosting, domain, email, VPS, SSL or other services.

“Customer”, “you”, or “your” means the individual or legal entity purchasing or using a PriortechLabs service.

“Content” means websites, files, databases, emails, applications, software, media, text, code and other information stored, transmitted or made available through your services.

“Services” means any hosting, domain, email, SSL, VPS, website-related, or other digital services provided by PriortechLabs.

“Service Period” means the period for which a particular service has been purchased.

“Suspension” means temporarily disabling some or all access to a service while retaining the account or its associated data for a period determined by PriortechLabs.

“Termination” means permanently ending a service or account.

2. Acceptance of These Terms

2.1. These Terms form a legally binding agreement between you and PriortechLabs when you purchase or use our Services.

2.2. If you are purchasing Services on behalf of a company, organisation or other legal entity, you confirm that you have authority to bind that entity to these Terms.

2.3. You are responsible for ensuring that anyone who accesses your account or uses your Services on your behalf complies with these Terms.

2.4. You remain responsible for your account even where access has been given to an employee, contractor, developer, agency, reseller, customer or other third party.

3. Eligibility and Account Information

3.1. You must provide accurate, current and complete information when creating an account or purchasing a Service.

3.2. You must keep your contact, billing and account information up to date.

3.3. We may request additional information where reasonably necessary to verify an account, investigate suspected fraud or abuse, comply with applicable law, or satisfy requirements of a domain registry, payment provider, regulator or other service provider.

3.4. You must not knowingly provide false, misleading, fraudulent or impersonated information.

3.5. Where a domain name requires identity, contact or registration information, you are responsible for ensuring that the information supplied is accurate and remains current.

3.6. PriortechLabs may suspend an account where materially false information is provided or where we reasonably believe an account is being used for fraud, abuse or unlawful activity.

4. Our Services

4.1. PriortechLabs provides digital infrastructure and related services, which may include:

  • Shared web hosting;
  • Reseller hosting;
  • WordPress or application hosting;
  • VPS and server-related services;
  • Domain registration and management;
  • SSL certificates;
  • Business email hosting;
  • Website-related services;
  • DNS services;
  • Backups where specifically included in the purchased plan;
  • Other services described on our website or billing platform.

4.2. Not every Service includes the same storage, bandwidth, processing resources, backup facilities, technical support or other features. The limits and features applicable to your Service are those stated on the relevant product or order page.

4.3. PriortechLabs may change the technical infrastructure used to provide a Service, including servers, IP addresses, data centres, software, network providers or other underlying infrastructure, where reasonably necessary to operate, maintain, secure or improve the Service.

4.4. We do not guarantee that a particular server, IP address, data centre, software version or infrastructure provider will remain available for the entire Service Period.

5. Customer Responsibility

5.1. You are responsible for everything hosted, stored, transmitted, uploaded or operated through your account.

5.2. You are responsible for maintaining appropriate security for your account, including passwords, authentication credentials, API keys, control-panel accounts, email accounts and administrative access.

5.3. You must take reasonable steps to prevent unauthorised access to your Services.

5.4. You must immediately notify PriortechLabs if you suspect that your account or credentials have been compromised.

5.5. You are responsible for keeping copies of important Content unless a separate written agreement states that PriortechLabs is responsible for maintaining a particular backup.

6. Acceptable Use

6.1. PriortechLabs Services may only be used for lawful purposes.

6.2. You must comply with all applicable laws and regulations of Tanzania and, where applicable, the laws of the country in which you operate or to which your activities are directed.

6.3. You must not use PriortechLabs Services to:

  1. commit, facilitate or promote criminal activity;
  2. gain unauthorised access to computers, networks, accounts, systems or data;
  3. distribute malware, ransomware, viruses, spyware, malicious scripts or other harmful software;
  4. conduct phishing, credential theft, impersonation or other fraudulent activity;
  5. launch or participate in denial-of-service or distributed denial-of-service attacks;
  6. conduct unauthorised vulnerability scanning, exploitation or penetration testing against third-party systems;
  7. distribute stolen credentials, payment information or other unlawfully obtained information;
  8. infringe copyright, trademarks, patents, trade secrets, privacy rights or other intellectual property rights;
  9. operate services intended primarily for spam, unsolicited bulk messaging or abusive email distribution;
  10. send email using forged headers, misleading sender information or unauthorised third-party domains;
  11. host or distribute content that is unlawful under applicable law;
  12. use the Services to harass, threaten, defraud, stalk or unlawfully harm another person;
  13. operate services designed to facilitate unlawful financial activity;
  14. intentionally interfere with the operation or security of PriortechLabs infrastructure or another network;
  15. attempt to bypass service limitations, authentication systems or security controls;
  16. use shared hosting in a manner that materially disrupts the performance or security of other customers’ services; or
  17. use a Service in a manner that creates an unreasonable security, legal, operational or reputational risk to PriortechLabs, our infrastructure providers or other customers.

6.4. The examples above are not exhaustive. PriortechLabs may take reasonable action where an activity presents a genuine security, legal, operational or abuse risk.

7. Prohibited and Restricted Content

7.1. PriortechLabs does not knowingly permit its infrastructure to be used for unlawful content or activities.

7.2. Prohibited activities include, but are not limited to:

  • Malware distribution;
  • Phishing;
  • Fraudulent websites;
  • Credential harvesting;
  • Unauthorised hacking or system intrusion;
  • Copyright infringement;
  • Distribution of pirated software or other unlawfully distributed material;
  • Spam operations;
  • Botnet or command-and-control infrastructure;
  • Unauthorised cryptocurrency or resource-intensive mining on shared services;
  • Content or services designed to facilitate criminal activity;
  • Child sexual abuse material or exploitation;
  • Threats or unlawful harassment;
  • Unlawful collection or disclosure of personal information;
  • Deliberate abuse of network infrastructure.

7.3. Content that is legal in one country may be restricted or unlawful in another. International customers are responsible for complying with laws applicable to their activities.

7.4. PriortechLabs does not act as an editor or publisher of customer websites. Customers remain responsible for their own Content.

8. Copyright and Intellectual Property

8.1. You retain ownership of Content that you lawfully own and upload to PriortechLabs.

8.2. By using our Services, you grant PriortechLabs the limited rights reasonably necessary to store, transmit, process, back up and technically reproduce your Content for the purpose of providing the Services.

8.3. You must not use our Services to infringe another person’s intellectual property rights.

8.4. Where PriortechLabs receives a credible copyright or intellectual-property complaint, we may investigate the matter and take reasonable action, including requesting clarification, restricting access to specific Content or suspending affected Services where appropriate.

8.5. Nothing in these Terms transfers ownership of your Content to PriortechLabs.

8.6. PriortechLabs retains ownership of its own websites, software, systems, branding, documentation, templates and intellectual property unless otherwise stated.

9. Domain Names

9.1. Domain registrations are subject to the rules of the applicable domain registry, registry operator and/or registrar.

9.2. Purchasing a domain through PriortechLabs does not guarantee that a requested domain name will remain available, remain registered, or be transferable in every circumstance.

9.3. Domain registration fees, renewal fees, transfer fees and registry charges are generally separate from hosting fees.

9.4. Domain names must be renewed before their applicable expiry dates. Failure to renew may result in suspension, expiration, redemption, deletion or loss of the domain name.

9.5. PriortechLabs is not responsible for a customer’s failure to renew a domain because of an incorrect email address, missed reminder, failed payment method, unavailable customer contact or other circumstance within the customer’s control.

9.6. Certain domain extensions have additional registration requirements, eligibility rules, dispute policies and renewal procedures. You agree to comply with those requirements.

9.7. Where a domain is registered through a third-party registrar or registry, the applicable registrar and registry terms may also apply.

9.8. Where there is a conflict between these Terms and mandatory registry rules, the applicable registry rules will govern the domain registration to the extent of the conflict.

10. Billing and Payment

10.1. Services are billed according to the billing cycle selected at purchase, which may include monthly, quarterly, semi-annual, annual or another period offered by PriortechLabs.

10.2. Unless otherwise stated, Services are paid in advance.

10.3. Your renewal date is based on the Service Period shown on your invoice or customer account.

10.4. You are responsible for ensuring that invoices are paid on time.

10.5. PriortechLabs may send payment reminders before a Service expires.

10.6. If payment is not received by the due date, PriortechLabs may suspend the affected Service.

10.7. Continued non-payment may result in termination and deletion of the Service and associated Content.

10.8. PriortechLabs may apply applicable taxes, government charges, registry charges, payment-processing charges or other mandatory fees to an order where required.

10.9. Prices may be changed from time to time. Any price change will generally apply to future purchases or renewals and will not retroactively alter an already-paid Service Period.

11. Suspension for Non-Payment

11.1. If an invoice remains unpaid after the Service becomes due, PriortechLabs may suspend the affected Service.

11.2. During suspension, access to websites, databases, email, applications or other Service features may be restricted.

11.3. If payment remains outstanding for an extended period, PriortechLabs may terminate the Service and delete associated data.

11.4. Specific suspension and deletion periods may vary depending on the Service.

11.5. Customers should not rely on a suspension period as a guaranteed data-retention period.

12. Refunds and Cancellations

12.1. Customers may cancel a Service through the customer billing system or by contacting PriortechLabs.

12.2. Where PriortechLabs offers a money-back guarantee for a particular hosting plan, the applicable guarantee period and conditions will be stated on the relevant product or order page.

12.3. Unless otherwise stated, domain registration, domain renewal, domain transfer, SSL certificates, dedicated IP addresses, licences, third-party services and other non-refundable products are not eligible for a hosting money-back guarantee.

12.4. Refunds may be denied where a Service was used in violation of these Terms or the Acceptable Use Policy.

12.5. If a refund is approved, PriortechLabs may deduct amounts relating to non-refundable third-party services, domains, transaction fees or other costs that cannot reasonably be recovered.

12.6. Cancellation of a Service does not automatically cancel unrelated Services associated with the same customer account.

12.7. Unless otherwise agreed, refunds are made using the original payment method where reasonably possible.

13. Backups and Data Loss

13.1. PriortechLabs may maintain backups of some Services as part of our infrastructure and operational processes.

13.2. Unless a Service explicitly states that backups are included and guaranteed, backups should be considered a convenience and not a guarantee of data recovery.

13.3. Backup availability, frequency and retention may vary between Services.

13.4. You are ultimately responsible for maintaining independent backups of important websites, databases, email and other Content.

13.5. PriortechLabs will make reasonable efforts to restore data from available backups when technically possible, but we do not guarantee that every file, database, email or configuration can be recovered.

13.6. PriortechLabs is not responsible for loss of data resulting from customer actions, software failures, security incidents, accidental deletion, incompatible applications, account termination, third-party failures or circumstances beyond our reasonable control.

14. Resource Usage

14.1. Shared hosting resources are shared among multiple customers.

14.2. You must not use a shared hosting account in a way that consistently consumes excessive CPU, RAM, disk I/O, processes, database resources, email resources or other resources in a manner that materially affects other customers.

14.3. Where excessive usage is detected, PriortechLabs may contact you and recommend optimisation, migration to a more suitable Service, or another reasonable solution.

14.4. Where excessive usage creates an immediate security, stability or availability risk, PriortechLabs may temporarily restrict the affected account while investigating the issue.

14.5. VPS customers are responsible for applications, configurations and resource usage within their VPS unless PriortechLabs has expressly agreed to manage those systems.

15. Email Services

15.1. Email services must not be used to send spam, unsolicited bulk email, phishing messages, malware or fraudulent communications.

15.2. Customers are responsible for maintaining appropriate email authentication and security measures for their domains where applicable.

15.3. PriortechLabs may temporarily restrict outgoing email where an account is compromised or is generating abusive, malicious or unusually high-volume traffic.

15.4. Customers are responsible for the content of emails sent through their accounts and for complying with applicable anti-spam, privacy, consumer-protection and electronic-communications laws.

16. Security Incidents and Abuse

16.1. If we reasonably believe that a Service has been compromised, hacked, infected with malware, involved in phishing, or otherwise presents a significant security risk, we may temporarily restrict the affected Service.

16.2. Where reasonably possible, PriortechLabs will notify the customer and provide information about the reason for the restriction.

16.3. The customer is responsible for taking reasonable steps to secure compromised websites, applications, passwords and other systems.

16.4. PriortechLabs may require that a security issue be corrected before restoring unrestricted Service access.

16.5. PriortechLabs may preserve relevant technical information where reasonably necessary to investigate abuse, protect our infrastructure, comply with legal obligations or establish and defend legal rights.

17. Law Enforcement and Legal Requests

17.1. PriortechLabs may cooperate with lawful requests, orders, warrants, notices or other legally binding requirements issued by a competent authority.

17.2. We may disclose information where required or permitted by applicable law.

17.3. Where legally permitted and reasonably appropriate, we may notify an affected customer of a legal request. We are not required to provide such notice where prohibited by law or where doing so could interfere with an investigation, legal process or security matter.

18. Privacy and Personal Data

18.1. PriortechLabs collects and processes personal information necessary to create customer accounts, provide Services, process payments, communicate with customers, prevent abuse, provide support, maintain security and comply with legal obligations.

18.2. PriortechLabs will handle personal information in accordance with our Privacy Policy and applicable data-protection laws.

18.3. Where applicable, PriortechLabs will comply with the requirements of the Personal Data Protection Act, 2022 and related regulations.

18.4. Depending on the Service and the relationship between the parties, PriortechLabs may process personal data as a data controller, data processor or in another legally applicable capacity.

18.5. Customers who upload or process personal data through our hosting Services are responsible for ensuring that they have an appropriate legal basis and authority to collect, use, store and process that data.

18.6. Customers must not use PriortechLabs Services to unlawfully collect, expose, sell or distribute personal information belonging to other people.

18.7. Personal data may be processed or stored using third-party infrastructure providers where necessary to provide the Services, subject to applicable law and our contractual arrangements with those providers.

18.8. Where personal data is transferred across borders, PriortechLabs will take the steps required by applicable data-protection law.

19. International Customers

19.1. PriortechLabs welcomes customers outside Tanzania.

19.2. International customers are responsible for complying with laws applicable to their activities, customers, Content and business operations.

19.3. These Terms are primarily governed by the laws applicable in Tanzania, subject to mandatory rights or protections that may apply to a customer under the laws of another jurisdiction.

19.4. Nothing in these Terms is intended to remove consumer rights that cannot lawfully be excluded.

20. Service Availability

20.1. PriortechLabs will make reasonable efforts to keep Services available and operational.

20.2. We do not guarantee uninterrupted or error-free Service unless a separate Service Level Agreement expressly provides such a guarantee.

20.3. Service interruptions may occur because of:

  • Planned maintenance;
  • Emergency maintenance;
  • Hardware failure;
  • Software failure;
  • Network failure;
  • Data-centre problems;
  • Cyberattacks;
  • DNS problems;
  • Third-party infrastructure failures;
  • Internet routing problems;
  • Customer configuration or application problems;
  • Government or regulatory action;
  • Events beyond our reasonable control.

20.4. Where reasonably possible, PriortechLabs will provide advance notice of planned maintenance that is expected to materially affect Services.

21. Third-Party Services

21.1. PriortechLabs may rely on third-party providers for infrastructure, domain registration, payment processing, SSL certificates, software licences, data centres, networking, email delivery, security and other components of our Services.

21.2. Third-party services may have separate terms and policies.

21.3. PriortechLabs is not responsible for failures caused solely by a third-party provider where the matter is outside our reasonable control.

21.4. Where a third-party service becomes unavailable or changes its requirements, PriortechLabs may modify or replace the affected component where reasonably necessary.

22. Support

22.1. PriortechLabs provides technical support according to the support level applicable to your Service.

22.2. Support generally covers the operation of the PriortechLabs Service and reasonable assistance with common hosting-related issues.

22.3. Unless expressly included in your Service, support does not necessarily include:

  • Custom website development;
  • Custom programming;
  • Third-party software development;
  • Extensive website redesign;
  • Fixing customer-written code;
  • Managing unrelated third-party services;
  • Recovering data where no usable backup exists.

22.4. PriortechLabs may assist with these matters where possible, but additional fees may apply.

23. Intellectual Property Complaints

23.1. If you believe Content hosted through PriortechLabs infringes your copyright or other intellectual-property rights, you may contact PriortechLabs with sufficient information to allow us to investigate the complaint.

23.2. We may request additional information or evidence before taking action.

23.3. PriortechLabs may restrict or remove access to Content where required by law, court order, applicable registry policy or where we reasonably determine that immediate action is necessary to address a serious infringement or abuse issue.

23.4. We do not automatically accept every allegation of infringement as proven.

24. Indemnification

24.1. To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless PriortechLabs, its owners, officers, employees, contractors and service providers from reasonable claims, losses, liabilities, damages and expenses arising from:

  1. your unlawful use of the Services;
  2. your violation of these Terms;
  3. your Content;
  4. your infringement of another person’s rights;
  5. your violation of applicable law;
  6. fraudulent or abusive activity conducted through your account; or
  7. claims made by a third party arising from your use of the Services.

24.2. This clause does not require you to indemnify PriortechLabs for losses caused by PriortechLabs’ own liability where such liability cannot legally be excluded.

25. Disclaimer of Warranties

25.1. To the maximum extent permitted by applicable law, Services are provided on an “as available” and “as reasonably provided” basis.

25.2. PriortechLabs does not guarantee that every Service will always be uninterrupted, completely secure, error-free or suitable for every particular purpose.

25.3. We do not guarantee that your website will achieve a particular level of traffic, revenue, search-engine ranking, sales, performance or business result.

25.4. Customers are responsible for determining whether a Service is suitable for their particular technical and business requirements.

25.5. Nothing in these Terms excludes a warranty, right or protection that cannot lawfully be excluded under applicable law.

26. Limitation of Liability

26.1. To the maximum extent permitted by applicable law, PriortechLabs will not be liable for indirect, incidental, special, exemplary or consequential loss arising from your use of the Services, including loss of profits, revenue, business opportunities, goodwill or anticipated savings.

26.2. PriortechLabs will not be responsible for losses caused by circumstances outside our reasonable control.

26.3. PriortechLabs will not be responsible for losses caused by:

  • Customer configuration;
  • Customer software;
  • Customer Content;
  • Third-party applications;
  • Security vulnerabilities in customer websites;
  • Compromised customer credentials;
  • Failure to maintain backups;
  • Domain expiration caused by customer failure to renew;
  • Third-party service failures;
  • Internet or DNS failures outside our control.

26.4. Subject to applicable law, PriortechLabs’ aggregate liability arising from a particular Service will not exceed the amount actually paid by the customer to PriortechLabs for that Service during the twelve (12) months immediately preceding the event giving rise to the claim.

26.5. The limitations in this section do not apply to liability that cannot legally be limited or excluded.

27. Suspension and Termination

27.1. PriortechLabs may suspend or terminate a Service where reasonably necessary because of:

  1. non-payment;
  2. a serious or repeated breach of these Terms;
  3. unlawful activity;
  4. serious security risks;
  5. fraud or attempted fraud;
  6. abuse of our infrastructure;
  7. a valid legal or regulatory requirement;
  8. conduct that materially threatens other customers or our infrastructure; or
  9. circumstances in which continued provision of the Service would create an unreasonable legal or operational risk.

27.2. Where the circumstances allow, PriortechLabs will attempt to notify the customer before suspension or termination and provide an opportunity to resolve the issue.

27.3. Immediate suspension may occur where delay would reasonably create a serious security, legal, operational or financial risk.

27.4. Termination for a serious violation may result in loss of access to the affected Service and may affect eligibility for a refund.

27.5. Termination does not release the customer from payment obligations that accrued before termination.

28. Data After Termination

28.1. After termination, PriortechLabs may retain or delete customer data according to our operational retention policies, legal obligations and backup schedules.

28.2. Customers should request and complete any necessary data migration before termination.

28.3. Once data has been permanently deleted from active systems and available backups, PriortechLabs may not be able to recover it.

28.4. PriortechLabs is not required to maintain customer data indefinitely after termination.

29. Changes to Services

29.1. PriortechLabs may modify, discontinue or replace a Service where reasonably necessary for technical, commercial, security, legal or operational reasons.

29.2. Where a material change substantially affects an already-paid Service, PriortechLabs will make reasonable efforts to provide notice and, where appropriate, offer an alternative solution.

29.3. Nothing in this section permits PriortechLabs to remove mandatory consumer rights or other protections that cannot legally be excluded.

30. Changes to These Terms

30.1. PriortechLabs may update these Terms from time to time.

30.2. The latest version will be published on our website.

30.3. Where a change is materially adverse to existing customers, PriortechLabs will make reasonable efforts to provide notice where appropriate.

30.4. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms, except where applicable law requires another form of consent.

31. Governing Law and Disputes

31.1. These Terms are governed by the laws of the United Republic of Tanzania, subject to applicable mandatory legal protections.

31.2. We encourage customers to contact PriortechLabs first so that we can attempt to resolve complaints or disputes informally.

31.3. Where a dispute cannot be resolved informally, the parties may use any applicable court, regulatory complaint process, mediation, arbitration or other dispute-resolution procedure available under Tanzanian law.

31.4. Nothing in these Terms prevents a customer from exercising a mandatory legal right to make a complaint to a competent regulator or seek a remedy available under applicable law.

32. Force Majeure

32.1. PriortechLabs will not be responsible for delay or failure to perform an obligation where the failure results from circumstances beyond our reasonable control.

32.2. Such circumstances may include natural disasters, major network failures, power failures, war, civil unrest, government action, regulatory restrictions, epidemics, major cyberattacks, failures of upstream providers, data-centre failures or other events that could not reasonably have been prevented.

33. Severability

33.1. If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

33.2. The remaining provisions will continue in effect.

34. No Waiver

34.1. If PriortechLabs does not immediately enforce a provision of these Terms, this does not mean that PriortechLabs has permanently waived its right to enforce that provision later.

35. Entire Agreement

35.1. These Terms, together with the Privacy Policy, Acceptable Use Policy, applicable Service descriptions, invoices and any separate written agreement between PriortechLabs and the customer, form the agreement governing the Services.

35.2. If a separate written agreement expressly states that it overrides a provision of these Terms, the separate agreement will control to the extent of the conflict.

PriortechLabs may designate specific email addresses for billing, technical support, abuse and legal notices. The current contact details should be obtained from the PriortechLabs website.

37. Customer Acknowledgement

By purchasing or using a PriortechLabs Service, you acknowledge that:

  1. You have read and understood these Terms;
  2. You agree to comply with them;
  3. You are responsible for the Content and activity associated with your account;
  4. You are responsible for maintaining appropriate backups of important data;
